Terms & Conditions

Last Updated: October 1, 2026

These Terms & Conditions govern your access to and use of rollershadefactory.com, including requests for estimates, quotations, product purchases, custom orders, measurements, fabrication, delivery, installation, and related services.

The website is operated by RO-Shades LLC (“RO-Shades,” “Roller Shade Factory,” “we,” “us,” or “our”).

By using this website, submitting a request, approving a quotation, making a payment, or placing an order, you agree to these Terms & Conditions. If you do not agree, do not use the website or place an order.

1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement.

If you place an order on behalf of a company, property owner, contractor, designer, organization, or another person, you confirm that you have authority to bind that party to these Terms.

2. Website Information

We make reasonable efforts to keep product information, specifications, photographs, pricing, availability, and other website content accurate.

However:

  • Product images may be illustrative.
  • Screen colors may differ from actual fabrics, finishes, and materials.
  • Dimensions and specifications may contain reasonable manufacturing tolerances.
  • Product designs, packaging, hardware, software, and availability may change.
  • Website content may contain typographical, technical, or pricing errors.

We may correct errors or update information without prior notice. No website content constitutes architectural, engineering, electrical, structural, or code-compliance advice.

3. Estimates and Online Configurators

Certain sections of the website provide price calculators or configuration tools for roller shades, curtain track systems, fascia, flaps, hangers, and other custom products.

Prices displayed by these tools are preliminary estimates only. They are not final quotations, offers, order confirmations, or guarantees of price.

Factors That May Affect an Estimate

An estimate may change based on factors including:

  • Final dimensions
  • Fabric or material selection
  • Hardware and control options
  • Motorization and electrical requirements
  • Product compatibility
  • Installation conditions
  • Building access requirements
  • Shipping and delivery costs
  • Taxes
  • Site measurements
  • Special fabrication requirements

Submitting a configuration or estimate request does not create an order or require Roller Shade Factory to provide the product at the displayed estimated price.

When an Order Becomes Binding

A binding order exists only after we issue a written quotation, sales order, invoice, or order confirmation; the customer approves the applicable specifications; and any required deposit or payment has been received.

Unless stated otherwise, quotations expire 30 days after issuance.

4. Online Product Purchases

Products displaying an active “Add to Cart,” “Buy Now,” or checkout option may be purchased through the website, subject to availability and order acceptance.

An automated order acknowledgment or payment authorization confirms only that we received the order. It does not constitute final acceptance.

Reasons an Online Order May Be Refused or Canceled

We may refuse, limit, or cancel an order because of:

  • Product unavailability
  • Incorrect pricing or product information
  • Suspected fraud or unauthorized payment
  • Shipping restrictions
  • Compatibility concerns
  • Quantity limitations
  • Legal or safety requirements

If we cancel an order after collecting payment, we will refund the applicable amount to the original payment method.

5. Custom and Made-to-Order Products

Custom products include, without limitation:

  • Made-to-measure roller shades
  • Custom-cut fabrics
  • Cut tubes, tracks, rails, or fascia
  • Custom assemblies
  • Special-order motors or controls
  • Special finishes or colors
  • Products manufactured, modified, or ordered specifically for the customer

When a Custom Order Becomes Final

A custom order becomes final and non-cancelable when the customer approves the specifications or authorizes production, cutting, fabrication, or material procurement.

Approval may be provided through email, electronic confirmation, signed documents, payment following receipt of specifications, or another written authorization.

Cancellation of a Custom Order

Before the order becomes final, we may approve a cancellation in writing. Any approved refund may be reduced by documented design work, measurement services, ordered materials, supplier charges, or other costs already incurred and disclosed, to the extent permitted by law.

After approval or production begins, custom orders cannot be canceled, returned, exchanged, or refunded except for a verified manufacturing defect or an error made by Roller Shade Factory.

Nothing in this section limits a cancellation right that cannot legally be waived. If an in-home sale or another transaction is subject to a legally required cancellation period, the applicable statutory notice and cancellation right will control.

6. Measurements and Customer-Supplied Information

The customer is responsible for verifying all measurements, quantities, mounting conditions, colors, control sides, roll directions, electrical requirements, and other specifications before approving an order.

When a customer supplies measurements, Roller Shade Factory is not responsible for products that do not fit because of incorrect, incomplete, reversed, or misunderstood measurements.

When Roller Shade Factory performs a site measurement, the measurement applies to the conditions reasonably visible and accessible at that time. We are not responsible for later construction changes, moved frames, altered finishes, concealed obstructions, settlement, or work performed by third parties after the measurement.

Changes requested after approval may require a revised price and delivery schedule.

7. Materials, Colors, and Manufacturing Tolerances

Natural and manufactured materials may vary slightly in color, texture, weave, sheen, pattern alignment, opacity, or finish.

Samples, photographs, monitors, and printed materials may not reproduce exact colors. Different production or dye lots may also vary.

Minor variations and reasonable manufacturing tolerances that do not materially prevent normal use are not considered defects.

Customers requiring an exact match should request and approve current physical samples before ordering.

8. Pricing, Taxes, and Payment

All prices are stated in U.S. dollars unless indicated otherwise.

Taxes, shipping, delivery, installation, permits, parking, building fees, electrical work, and other services are not included unless expressly stated in writing.

Payment schedules, deposits, and balances for custom projects will be shown on the applicable quotation or invoice.

Deposits for custom products become non-refundable after the order is approved or production and material procurement begin, except where applicable law requires otherwise.

Payment may be processed by third-party payment providers. Their separate terms and privacy practices may apply.

Failure to pay an amount when due may delay production, shipping, delivery, installation, warranty service, or completion of the project.

9. Order Changes

Changes must be requested in writing and are not effective unless accepted by Roller Shade Factory.

Approved changes may result in:

  • Additional charges
  • Supplier or cancellation fees
  • New material requirements
  • Production delays
  • Revised delivery or installation dates

We are not required to accept changes after materials have been ordered, products have been cut, or production has begun.

10. Shipping and Delivery

Shipping and delivery dates are estimates unless we expressly guarantee a specific date in writing.

We will use reasonable efforts to ship within the time stated in the order confirmation. If we cannot ship within the promised period, we will provide any delay notice, cancellation option, consent request, or refund required by applicable law.

Carrier delays, weather, supply-chain interruptions, building restrictions, customs issues, incorrect addresses, and events outside our reasonable control may affect delivery.

The customer is responsible for providing a complete and accurate delivery address, contact information, and access instructions.

Orders may be shipped in multiple packages or separate shipments.

Risk of loss and title will transfer in accordance with applicable law and the terms of the selected carrier or delivery arrangement.

Additional shipping and return terms are stated in our Shipping, Returns & Refund Policy.

11. Delivery Inspection and Shipping Damage

Inspect all packages promptly after delivery.

Visible damage, missing packages, incorrect products, or missing components should be reported to sales@rollershadefactory.com as soon as possible, preferably within 48 hours.

Information Required for a Shipping Claim

Include:

  • Order number
  • Description of the problem
  • Photographs of the product
  • Photographs of the packaging and shipping label
  • Quantity affected

Keep all original packaging until the claim is resolved. Carrier inspection may be required.

Failure to report a problem within 48 hours does not waive any right that cannot legally be waived, but delayed reporting may make a carrier claim more difficult.

12. Return Policy for Standard Products

Return Eligibility

Eligible, standard-stock products may be returned only under the following conditions:

  • Return authorization is requested within 14 calendar days after delivery.
  • The product is unused, uninstalled, uncut, unmodified, and undamaged.
  • The product is returned with all parts, instructions, accessories, labels, and original packaging.
  • The customer provides proof of purchase.
  • The return is shipped using a trackable method after authorization.

Do not return products without receiving return instructions from Roller Shade Factory.

The customer is responsible for return shipping and for loss or damage occurring during return transportation.

Restocking Fee and Refunds

Approved discretionary returns are subject to a 15% restocking fee. Original shipping, expedited shipping, delivery, measurement, installation, and other completed service charges are non-refundable except when the return results from our error or applicable law requires otherwise.

Original payment-processing costs incurred by Roller Shade Factory are not charged separately to the customer beyond the disclosed 15% restocking fee.

Refunds are issued to the original payment method after the returned product is received and inspected.

Products returned used, incomplete, damaged, installed, modified, or without adequate packaging may be rejected or may receive a reduced refund reflecting the loss in value.

Complete return and refund requirements are stated in our Shipping, Returns & Refund Policy.

13. Non-Returnable Products

The following products and charges are final sale and non-returnable unless defective, incorrectly supplied by us, or otherwise required by law:

  • Custom or made-to-measure products
  • Cut fabric, tubes, tracks, rails, or fascia
  • Fabricated or assembled systems
  • Special-order products
  • Custom colors or finishes
  • Clearance or products marked “Final Sale”
  • Opened, installed, wired, programmed, paired, or modified motors and electrical components
  • Batteries and consumable products after opening or installation
  • Products damaged by incorrect handling, storage, wiring, programming, or installation
  • Measurement, design, delivery, installation, and other completed services

A compatibility issue is not considered a product defect when the product matches its published specifications or the specifications approved by the customer.

14. Defective, Incorrect, or Missing Products

If we supplied an incorrect product, omitted a component, or the product has a verified defect, contact us promptly with the order information and supporting photographs.

Available Remedies

Depending on the circumstances and applicable law, we may:

  • Supply the missing component
  • Repair the product
  • Replace the affected product
  • Authorize a return
  • Issue an appropriate refund

Do not discard, alter, repair, install, or return a disputed product before receiving instructions from us.

Unauthorized repairs or modifications may affect available remedies or manufacturer warranty coverage.

15. Installation and On-Site Services

Installation, measurement, removal, disposal, programming, electrical work, and related services are included only when expressly stated in a written quotation or agreement.

Customer Responsibilities

The customer must provide:

  • Safe and timely access to the property
  • A clear work area
  • Accurate building and contact information
  • Required building approvals, permits, certificates, or elevator reservations
  • Suitable mounting surfaces and structural support
  • Working electrical service where required
  • Notice of concealed utilities, hazards, or unusual conditions

Services Not Included Unless Stated in Writing

Unless included in writing, our work does not include painting, plastering, patching, structural reinforcement, asbestos or hazardous-material work, moving valuable items, line-voltage electrical work, or repairs to pre-existing conditions.

Unexpected site conditions may require a change order, additional work, or rescheduling.

We may stop or postpone work if conditions are unsafe or if required access, approvals, power, or information are unavailable.

Additional costs caused by failed access, building restrictions, inaccurate information, or customer-requested rescheduling may be charged when disclosed and permitted by law.

16. Motors, Controls, and Smart-Home Products

Motor and control compatibility depends on the complete system, including tube size, crown, drive, brackets, shade weight, power supply, voltage, wiring, radio frequency, hub, remote, application, network, and smart-home platform.

Customers purchasing individual components are responsible for confirming complete system compatibility unless Roller Shade Factory expressly confirms compatibility in writing for the disclosed configuration.

Line-voltage wiring must be performed by a properly qualified or licensed professional where required.

Third-party applications, voice assistants, wireless networks, cloud services, Matter controllers, Thread border routers, hubs, and smart-home platforms are controlled by their respective providers. We do not guarantee continuous availability, future compatibility, software support, or uninterrupted connectivity for third-party services.

17. Window-Covering Safety

Products must be installed, operated, and maintained according to all manufacturer instructions, warning labels, safety requirements, and applicable laws.

Window-covering cords and loops may present a serious strangulation hazard, especially to young children. Keep cords and control loops inaccessible to children, properly install required tension devices, and keep beds, cribs, furniture, and climbable objects away from windows and cords.

Cordless or motorized products should be selected wherever required by law or appropriate for the installation.

Do not remove safety labels or disable safety devices.

18. Manufacturer Warranties

Products manufactured by third parties may include a manufacturer warranty. When transferable, applicable manufacturer warranty rights will be passed through to the original purchaser.

Manufacturer warranties are controlled by the manufacturer’s own terms, exclusions, claim procedures, and coverage periods.

Roller Shade Factory does not extend, modify, or replace a third-party manufacturer warranty unless we expressly agree to do so in a separate written document.

The customer may be required to provide proof of purchase, photographs, serial numbers, or return the affected component for inspection.

19. Limited Workmanship Warranty

What the Warranty Covers

For fabrication or installation labor performed directly by Roller Shade Factory, we provide a 90-day limited workmanship warranty beginning on the date the applicable work is substantially completed.

This warranty covers verified defects caused directly by our workmanship. Our obligation is limited, at our option, to correcting or re-performing the affected work.

The customer must notify us in writing during the 90-day period and provide reasonable access for inspection and correction.

Warranty Exclusions

This workmanship warranty does not cover:

  • Product or manufacturer defects
  • Normal wear and tear
  • Fabric or color variation
  • Misuse, abuse, accidents, or neglect
  • Improper cleaning or maintenance
  • Work performed or altered by another party
  • Incorrect customer-supplied measurements or specifications
  • Building movement or settlement
  • Water, moisture, fire, weather, pests, or environmental damage
  • Electrical, network, or smart-home problems outside our work
  • Damage caused by unsuitable mounting surfaces or concealed conditions
  • Batteries and other consumable components

This section does not limit any warranty or consumer right that cannot legally be excluded.

20. Disclaimer of Warranties

To the fullest extent permitted by law, the website and its informational content are provided on an “as available” basis.

Except for an applicable manufacturer warranty, the limited workmanship warranty stated above, or a separate written warranty signed by Roller Shade Factory, we make no additional express warranty.

Nothing in these Terms excludes or limits an implied warranty, statutory right, or legal remedy that cannot lawfully be excluded or limited.

21. Limitation of Liability

To the fullest extent permitted by law, Roller Shade Factory will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost business, lost data, or loss of use.

To the fullest extent permitted by law, our total liability arising from a particular product, order, service, or transaction will not exceed the amount paid to Roller Shade Factory for the product or service giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited, including liability resulting from willful misconduct, gross negligence, or personal injury where applicable law prohibits limitation.

22. Customer Accounts

Customers are responsible for maintaining the confidentiality of their account credentials and for activity conducted through their accounts.

Notify us promptly if you suspect unauthorized access.

We may suspend or terminate an account used for fraud, unlawful activity, security threats, abuse, or violation of these Terms.

23. Acceptable Website Use

You may not:

  • Use the website for unlawful or fraudulent activity
  • Attempt unauthorized access to the website or another user’s account
  • Introduce malware or interfere with website operation
  • Scrape, copy, or systematically extract content without permission
  • Misrepresent your identity or authority
  • Use website content in a way that infringes intellectual-property rights

We may restrict access when reasonably necessary to protect the website, customers, or business.

24. Intellectual Property

Website text, graphics, photographs, designs, logos, product presentations, software, and other original content are owned by or licensed to Roller Shade Factory and are protected by applicable intellectual-property laws.

You may use website content only for personal evaluation and legitimate purchasing purposes. No content may be reproduced, distributed, republished, or commercially exploited without prior written permission.

Third-party trademarks and product names remain the property of their respective owners.

25. Third-Party Links and Services

The website may link to third-party websites, manufacturers, payment processors, shipping carriers, applications, or smart-home platforms.

We do not control and are not responsible for third-party websites, content, security, availability, policies, or services. Use of third-party services is subject to their separate terms.

26. Privacy

Our collection and use of personal information are described in our Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

27. Events Outside Our Control

We are not responsible for delays or failure caused by events beyond our reasonable control, including severe weather, fire, flood, labor interruption, transportation disruption, supplier failure, material shortages, utility outages, network failures, governmental actions, public emergencies, or other force majeure events.

This section does not eliminate any refund, cancellation, or notice obligation imposed by applicable law.

28. Separate Agreements

A written quotation, sales order, invoice, measurement sheet, installation agreement, change order, or other agreement may contain additional terms.

If an order-specific written agreement conflicts with these website Terms, the order-specific agreement controls for that transaction to the extent of the conflict.

29. Resolving Concerns

Please contact us first so we have a reasonable opportunity to resolve any concern.

Send written notices to:

sales@rollershadefactory.com

The parties agree to attempt in good faith to resolve a dispute informally before beginning formal legal proceedings, except when immediate action is reasonably necessary to protect legal rights or meet a filing deadline.

30. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Subject to any consumer right that cannot be waived, disputes relating to these Terms or a transaction with Roller Shade Factory will be brought in the state or federal courts having jurisdiction in or serving Kings County, New York.

31. Changes to These Terms

We may update these Terms from time to time.

Changes apply prospectively from the date the revised Terms are posted. An order will generally remain governed by the version accepted when the order was placed, unless the parties agree otherwise or applicable law requires a different result.

The effective date and last-updated date appear at the top of this page.

32. Severability and Waiver

If any provision is held unenforceable, the remaining provisions will remain in effect, and the affected provision will be enforced to the maximum extent permitted by law.

Failure to enforce a provision does not waive the right to enforce it later.
